application for listing and the development of the prospectus, filings,
documents, approvals, releases, etc.

acquisitions, public offerings and private placements, –which may incur
additional filing fees.
Company Valuation – preliminary and final
Valuation Report on the Company. An accurate valuation done by a third
party professional can be a huge determining factor in the size and
pricing of the Company’s offering.
Audit – completed for the last two (2) years.
Except for very limited exceptions, complete and audited financials will
be necessary.
Securities Commission - securities
commissions charge administrative fees to cover the prospectus filing
process. An additional fee is incurred once the Company receives the gross
proceeds. Fees vary by province, so it’s important to confirm current
prices with local securities commission.
Sponsorship - normally, the Company pays the
agent a commission amounting to about 10 per cent of the shares sold. The
sponsor’s fee covers the cost of conducting due diligence to ensure that
the Company is eligible for a venture listing. Unless the Company clearly
qualifies for a size and liquidity exemption, a required sponsor must
assess the business plan. If your business involves unproven or unique
technology, the sponsor ‘s due diligence may require the employment of an
outside specialist. Extra fees would be charged for these additional
tasks.
Legal - the lion’s share of the legal costs
associated with a public listing relate to due diligence, the process that
helps management provide to the exchange full, true and plain disclosure
of all material facts. Attorneys fee will vary depending on the quality
and quantity of documentation prepared and provide by the Company, and the
complexity of the Company’s business. One method of lowering these
expenses is by having in-house corporate secretary or chief financial
officer prepare a draft prospectus or filing statement for review by legal
counsel before it is submitted to the various securities commission(s).
US-based companies and certain types of businesses will often incur higher
legal costs because of multiple jurisdictional reviews.
