IIBEX ACQUIRES PROPRIETARY
SOFTWARE
IIBEX Ltd. (IIBEX) wholly owned
subsidiary TXTHC, Inc. (TXTHC) is pleased to announce that it has reached
agreement with PCCo, LLC (PCCo), a Houston based company, to acquire
ownership of the proprietary EPIC-Performance Support and Management
System™ (known as “OPS”).
Under the terms of the agreement, TXTHC
will pay PCCo US$375,000 at closing as an advance royalty and a base 10%
royalty on all OPS product sales for five (5) years up to a maximum of
US$20 million.
TXTHC is an early stage company organized around the acquisition of
synergistic technology and companies in the eLearning and enterprise
performance optimization space. The OPS was developed over the last five
years with in excess of over 65,000 man hours of R&D. A pay as you use
business model will be used to market and support the internet based
integrated products, systems, and services. In addition, several advanced
NASA technologies will be used that are proven in the mission critical
NASA Mission Control Center.
The TXTHC strategy is to acquire established service companies and intends
to use the OPS products to support the operations of these acquisitions,
as well as to market and sell the OPS products to additional global
markets.
“It is also the intention of TXTHC,” stated Philip Crawford, President of
IIBEX, “to provide capital for the continued development and exploitation
of the OPS products and the qualified opportunities transferred in this
transaction.” Also, each TXTHC company acquisition has the potential to
create one or more product implementations, with additional target
customers in new vertical markets. We believe this is a viable approach to
customizing OPS to replace a current vertical solution to be marketed to a
discrete vertical market. OPS is a performance engine that can be easily
configured to provide performance support and management for virtually any
business function, where it be enterprise wide or project based.
The OPS software team will transfer to TXTHC to ensure continuous support
and development of the products. The OPS alliances will be integrated into
the TXTHC plans. It is expected that the OPS business development efforts,
advisory boards, and international agent network will be incorporated into
the TXTHC plan in a manner to be determined before closing.
